Terms of Service for Digital Gym Director

Effective Date: January 12, 2025

1. Introduction
These Terms of Service ("Terms") govern the use of services provided by Digital Gym Director ("we," "us," or "our") to gymnastics facilities ("Client," "you," or "your"). By engaging our remote administrative services, you agree to comply with and be bound by these Terms.

2. Services Provided
Digital Gym Director offers a range of remote administrative services, including but not limited to:

• Athlete management and progress tracking

• Staff management, onboarding, and training coordination

• Event management for gymnastics meets, camps, and clinics

• Financial management and online payment processing

• Customer communication and support

• Marketing and outreach

• Technology and data management

• General administrative tasks

The scope and specific deliverables of services will be outlined in a separate Service Agreement or contract.

3. Service Fees
The fees for Digital Gym Director's services are detailed in the pricing structure provided to you upon inquiry. Fees are billed monthly, based on the services selected, and are payable in advance unless otherwise agreed upon in writing.

• Payment Terms: Payment is due on the first of each month, and invoices will be provided via email. Payments can be made via the agreed-upon online payment system.

• Late Payments: A late fee of 5% of the total due may be applied to invoices not paid within 15 days of the due date. Continued late payments may result in a suspension of services.

• Refunds: Fees are non-refundable once paid unless specifically stated in the Service Agreement.

4. Client Responsibilities
To ensure the timely and efficient delivery of services, the Client agrees to:

• Provide accurate and up-to-date information, such as athlete rosters, staff details, financial records, and other relevant data.

• Respond promptly to requests for information, feedback, and approvals.

• Ensure that all necessary permissions (e.g., for the use of copyrighted materials) are obtained for tasks requiring such permissions.

• Maintain confidentiality and security of all passwords and account information provided to Digital Gym Director.

5. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the term of this agreement. This includes, but is not limited to, gym data, client information, financial records, and employee details.

Digital Gym Director will not share or disclose confidential information without prior written consent from the Client unless required by law.

6. Termination
Either party may terminate this agreement with 30 days’ written notice. Upon termination, Digital Gym Director will cease all services, and the Client will be billed for any services rendered up to the termination date. Any outstanding balances must be paid upon termination.

In the event of non-payment or breach of these Terms, Digital Gym Director reserves the right to suspend services or terminate the agreement immediately.

7. Limitation of Liability
Digital Gym Director shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or reputation. Our liability is limited to the amount paid by the Client for services in the 12-month period preceding the claim.

8. Indemnification
The Client agrees to indemnify and hold Digital Gym Director harmless from any and all claims, damages, losses, or expenses (including legal fees) arising out of the Client’s negligence, misuse of services, or violation of any laws, regulations, or third-party rights.

9. Dispute Resolution
Any disputes or disagreements arising from or relating to these Terms shall be resolved through informal negotiations. If resolution cannot be reached, disputes will be handled through binding arbitration in the state of [State], in accordance with the American Arbitration Association rules.

10. Changes to Terms
Digital Gym Director reserves the right to update or modify these Terms at any time. Clients will be notified of any significant changes, and the updated Terms will be effective immediately upon posting on our website or providing notice to the Client.

11. Governing Law
These Terms are governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of law principles.

12. Entire Agreement
This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or arrangements regarding the services provided by Digital Gym Director.
